GiftBox Terms of Use

1. INTRODUCTION

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GiftBox Digital Inc. (“GiftBox,” “we,” “us,” or “our”), governing your access to and use of the GiftBox platform, website, and related services (collectively, the “Platform”). By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all applicable laws and regulations.

2. ELIGIBILITY

To use GiftBox, you must: Be at least 18 years of age and legally recognized as an adult in your jurisdiction; Have full legal capacity to enter into a binding contract; Use the Platform only in regions where such services are legally permitted. GiftBox is not responsible for any false representations of age or identity. Accounts created or used by individuals under 18 may be suspended or terminated without notice.

3. PLATFORM DESCRIPTION

GiftBox is designed to bring people closer together by providing a simple and meaningful way to send small, one-time monetary gifts for personal occasions such as birthdays, weddings, anniversaries, and holidays. Our mission is to help users express care, appreciation, and connection through digital gifting. GiftBox allows users to receive one-time gifts via a personalized link created for individual celebrations. Each sender may contribute an amount ranging from $10 to $100 USD per campaign. GiftBox is not a donation platform, crowdfunding service, or payment processor.

Prohibited uses include:
- Fundraising or political campaigns
- Commercial or business transactions
- Use by or on behalf of minors
- Any activity that violates local, international, or payment processor regulations

4. ACCOUNT REGISTRATION AND SECURITY

Users must provide accurate and complete information when creating an account. You are fully responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify GiftBox immediately at support@giftboxme.com of any unauthorized access, breach, or suspicious activity. GiftBox is not liable for losses resulting from unauthorized account use.

5. LINK USE AND LIMITATIONS

Each user may maintain only one active GiftBox link at a time. A link automatically expires after the end of the campaign. Once a campaign is closed, the link becomes inactive and can no longer receive gifts. Each sender may use a link only once, contributing an amount between $10 and $100 USD. Automated gifting, bots, fraudulent accounts, or other unauthorized means of access are strictly prohibited. GiftBox reserves the right to suspend or terminate any link or account engaged in suspicious or prohibited activity.

6. FEES

Recipient Fee: 15% of each gift (includes payment processing costs and platform service fee).
Sender Fee: $1 USD per transaction.

GiftBox may modify fees at any time and without prior notice. Continued use of the Platform after a fee adjustment constitutes acceptance of the updated rates.

7. PAYOUT ELIGIBILITY AND ACCOUNT INACTIVITY

All payouts on GiftBox are processed automatically through Stripe once a recipient’s account has been verified and connected to a valid payout method. GiftBox does not hold or manage funds at any stage. All balances are maintained and disbursed directly by Stripe in accordance with their payout schedules and compliance policies.

If a recipient fails to complete or maintain their Stripe verification, payouts may be temporarily paused until the process is successfully completed. During such periods, funds may remain pending in Stripe’s system; GiftBox has no access to these balances. In cases of prolonged inactivity (e.g., no logins or completed verification for more than 90 days), the recipient’s account may be restricted or suspended until compliance requirements are met. GiftBox does not reclaim, retain, or refund funds related to pending or paused payouts, as all payment operations are governed by Stripe’s Terms of Service.

8. PAYOUTS AND TRANSFERS

All payouts are facilitated through third-party payment processors, such as Stripe. After a user successfully connects and verifies their bank account, the first payout may take approximately 7–14 days to be released. This period is required by Stripe’s compliance and fraud-prevention policy and cannot be expedited. Following the first payout, all subsequent transfers occur automatically based on the user’s selected payout schedule in Stripe (e.g., daily, weekly, or monthly). Users do not need to initiate manual withdrawals; funds are automatically deposited according to the payout schedule.

GiftBox shall not be held responsible for:
- Delays, holds, or failed transactions imposed by Stripe or financial institutions
- Account verifications, compliance reviews, or system outages of payment processors
- Errors or delays caused by Apple Pay, Stripe, or connected banks

9. THIRD-PARTY PAYMENT INFORMATION DISCLOSURE

All payments made through GiftBox are processed via external payment providers, including Stripe and Apple Pay. While GiftBox implements robust privacy and security measures, some user information — such as name, billing address, or limited payment details — may be automatically displayed on transaction records within those third-party systems. GiftBox does not control what data is shown in third-party dashboards or receipts and therefore is not liable for the display, storage, or sharing of such data by external services. By using the Platform, you acknowledge and accept that third-party processors may disclose limited sender or recipient details in accordance with their own privacy policies and legal requirements.

10. TAX STATUS AND LEGAL NATURE OF GIFTBOX

8.1 Nature of the Platform: GiftBox Digital Inc. (“GiftBox”, “we”, “our”, “us”) operates as a digital facilitation platform that enables users (“Senders” and “Recipients”) to send and receive monetary gifts for personal occasions.

8.2 Service Fee: GiftBox charges a service and convenience fee for the use of its digital platform. This fee covers platform development, hosting, payment infrastructure, and customer support. The fee is not a taxable sale under Canadian tax law, as it represents a facilitation charge for digital intermediation, not the supply of a good or service. GiftBox does not collect or remit HST/GST on peer-to-peer transfers between users.

8.3 User Responsibility for Taxes: Each user acknowledges and agrees that they are solely responsible for determining and complying with any applicable tax obligations related to the funds they send or receive through the platform. GiftBox does not calculate, withhold, collect, or remit any form of income tax, sales tax, or withholding tax on behalf of users. Users are encouraged to consult with a qualified tax professional to determine their own tax liabilities under applicable law.

8.4 Stripe as Payment Settlement Entity (U.S. Users): All monetary transfers on the GiftBox platform are processed and settled by Stripe, Inc., a licensed and regulated Payment Settlement Entity (PSE). For users located in the United States, Stripe, Inc. is responsible for generating and issuing Form 1099-K to eligible recipients in compliance with the U.S. Internal Revenue Service (IRS) regulations. GiftBox does not issue or file any tax documentation on behalf of its users.

8.5 Regulatory Compliance in Canada: GiftBox Digital Inc. operates as a technology facilitator and is not classified as a Money Services Business (MSB) under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA). All funds are processed and held by Stripe in accordance with Canadian financial and anti-money-laundering (AML) regulations. GiftBox does not store, manage, or control user funds directly.
